Standard Terms of Engagement

Saptrishi Infosystems Private Limited • Outomate Solutions

Commercial Standard
  • Taxation: GST @18% extra as applicable on software licenses, SMS gateway services, and hardware items.
  • Custom Engineering & Tailoring: Additional custom features outside the standard scope shall be billed at Rs. 1,350/- per Man-Day of technical work.
  • Payment Schedule: 50% advance upon contract signing, and the remaining 50% balance within 7 days of software deployment and commissioning.
  • Third-Party Gateway Fees: Payment gateway processing charges, SMS carrier tariffs, and external audit fees are payable directly by the client.
  • Payment Gateway Continuity: Any bank processing hold or gateway delays shall not defer contractual milestone disbursements to the developer.
  • Annual Maintenance Contract (AMC): AMC is billed at 25% annually after the completion of the 1st year free warranty period.
  • Transactional SMS / WhatsApp: SMS and automated messaging consumption will be charged based on institutional volume requirements.
